Terms of Service for klekin
Effective Date: October 16, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) form a legally binding agreement between you and klekin, a business operating in British Columbia, Canada, with its principal place of business at 1425 Discovery Street, Unit 208, Victoria, BC V8T 1B9, Canada (the “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of our website located at klekin.pro and any related services, including live-streaming and remote production services (collectively, the “Services”).
By accessing or using the Services, requesting a quote, booking a production, creating an account, or otherwise engaging with klekin, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein. If you do not agree to these Terms, you must not use the Services.
If you are using the Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Scope of Services
klekin provides live-streaming and remote production services, which may include, without limitation:
- remote video production planning and coordination;
- live-streaming setup, monitoring, switching, and distribution;
- technical consultation and production support;
- camera, audio, lighting, encoding, and transmission coordination;
- virtual event support and remote contribution workflows;
- post-production deliverables, where expressly agreed in writing; and
- other related audiovisual and production services agreed in a written proposal, statement of work, invoice, or contract.
The exact scope, deliverables, timing, and pricing of Services will be described in a proposal, estimate, statement of work, booking confirmation, or other written agreement between you and klekin. Any services not expressly included in such written agreement are excluded unless we agree otherwise in writing.
You understand that live-streaming and remote production services may depend on third-party platforms, internet connectivity, hardware, software, venue conditions, and client-provided materials. klekin does not guarantee uninterrupted, error-free, or loss-free transmission, and we are not responsible for outages or failures caused by third parties or factors beyond our reasonable control.
3. User Obligations and Responsibilities
You agree to provide accurate, current, and complete information when interacting with klekin and to promptly update any information that becomes inaccurate or incomplete.
You are responsible for:
- obtaining all rights, permissions, consents, licenses, and releases necessary for your content, guests, locations, music, branding, or other materials used in connection with the Services;
- ensuring that your use of the Services complies with applicable laws, regulations, platform policies, and industry standards;
- providing timely feedback, approvals, assets, credentials, and other materials required for the provision of Services;
- maintaining appropriate backup copies of any content or data you supply or receive;
- securing access to venues, equipment, internet connections, power sources, and remote participants as needed; and
- ensuring that your content does not infringe intellectual property rights, violate privacy rights, or contain unlawful, defamatory, or otherwise prohibited material.
You must not:
- use the Services for unlawful, fraudulent, abusive, harassing, defamatory, or harmful purposes;
- interfere with or disrupt the Services, related systems, or third-party infrastructure;
- attempt to gain unauthorized access to any systems, data, or accounts;
- upload or transmit malicious code, spyware, ransomware, or similar harmful components; or
- represent that klekin endorses your content unless we have expressly agreed in writing.
4. Payment Terms and Conditions
Unless otherwise agreed in writing, all fees, deposits, taxes, and payment schedules will be specified in the applicable proposal, invoice, or statement of work. All amounts are stated in Canadian dollars unless otherwise indicated.
By placing an order or booking Services, you agree to pay all applicable charges, including any overtime, additional equipment, travel, accommodation, platform, licensing, administrative, or third-party costs approved by you or reasonably required to perform the Services.
Unless otherwise stated:
- a non-refundable deposit may be required to reserve dates and begin scheduling;
- full or partial prepayment may be required before the Services commence;
- invoices are due within the time period stated on the invoice, or if none is stated, within 15 days of the invoice date;
- late payments may result in suspension of Services, delay of deliverables, and applicable interest to the maximum extent permitted by law; and
- you are responsible for all collection costs, including reasonable legal fees and disbursements, to the extent permitted by applicable law.
klekin may rely on third-party payment processors. We are not responsible for errors, delays, chargeback fees, or security issues caused by third-party payment systems. You authorize us to charge your approved payment method for amounts due under the applicable agreement.
5. Cancellation and Refund Policy
Cancellations must be made in writing and will be effective only when acknowledged by klekin. Because live-streaming and remote production require advance planning and reserved resources, cancellations may result in charges.
Unless a different cancellation policy is set out in a written agreement:
- deposits are non-refundable;
- if you cancel after planning has begun, you remain responsible for all non-recoverable costs incurred by klekin;
- if you cancel within a short notice period before the scheduled service date, additional cancellation fees may apply based on the amount of work completed and resources reserved;
- rescheduling is subject to availability and may incur administrative or production costs; and
- refunds, if any, are issued only at klekin’s discretion or where required by applicable law or a written agreement.
If klekin must cancel due to technical, safety, legal, operational, or force majeure reasons, we will use commercially reasonable efforts to notify you promptly and may, at our discretion, reschedule the Services or refund amounts paid for Services not performed, less non-recoverable costs already incurred, where permitted by law.
6. Liability Limitations
To the fullest extent permitted by applicable Canadian law, klekin, its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, data, or business interruption arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of klekin for any claim arising out of or relating to the Services or these Terms shall not exceed the amount paid by you to klekin for the specific Services giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or CAD $500, whichever is greater, except where such limitation is prohibited by law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, gross negligence where such limitation is not permitted, or any other liability that cannot lawfully be excluded.
You acknowledge that live-streaming and remote production involve inherent risks, including equipment failure, network instability, audio/video degradation, human error, platform outages, and weather or venue-related disruptions. You assume all risks associated with your use of the Services to the extent permitted by law.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, methodologies, workflows, templates, software configurations, tools, know-how, and production techniques used by klekin remain the exclusive property of klekin or its licensors.
Upon full payment of all amounts due, you receive the rights expressly granted in the applicable written agreement with respect to final deliverables. Any rights not expressly granted are reserved by klekin.
You retain ownership of materials you provide to klekin, including logos, scripts, footage, images, music, trademarks, and other content, subject to the rights you grant to us to use such materials solely as necessary to perform the Services.
Unless otherwise agreed in writing:
- klekin may use general production know-how and non-confidential experience gained during the provision of Services;
- we may retain copies of project materials for archival, legal, quality assurance, and backup purposes;
- you grant klekin a limited, non-exclusive license to use your materials solely to perform the Services; and
- any portfolio, promotional, or case study use by klekin requires your prior written consent where such consent is required by law or by contract.
If the Services include music, third-party footage, stock assets, or platform-specific content, you are responsible for obtaining the necessary licenses unless klekin expressly agrees in writing to procure them on your behalf.
8. Data Protection and Privacy
klekin collects, uses, stores, and discloses personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, British Columbia privacy laws and any other applicable provincial or federal legislation.
We may collect personal information such as contact details, billing information, event details, technical logs, communications, and other information reasonably necessary to provide the Services, manage bookings, process payments, comply with legal obligations, and improve our operations.
We will use reasonable safeguards appropriate to the sensitivity of the information to protect personal information against loss, theft, unauthorized access, disclosure, copying, use, or modification. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
By using the Services, you consent to the collection, use, and disclosure of personal information as described in our privacy practices and as reasonably necessary to provide the Services. Where required by law, additional consent may be requested.
If the Services involve remote participants, recorded sessions, or live broadcasts, you are responsible for informing participants and obtaining any necessary notices, consents, and permissions. klekin is not responsible for your failure to obtain required consents from participants, attendees, clients, or other third parties.
9. Force Majeure
klekin shall not be liable for any delay, failure, or interruption in the performance of the Services caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, extreme weather, earthquake, epidemic, pandemic, labour disputes, strikes, power failures, internet outages, telecommunications failures, governmental actions, war, terrorism, civil unrest, supply shortages, venue restrictions, or failures of third-party platforms or providers.
In the event of force majeure, klekin may suspend, reschedule, or modify the Services without liability except for refund obligations, if any, that are expressly required by a written agreement or applicable law after considering non-recoverable costs and work already performed.
10. Changes to Terms
klekin may update or modify these Terms from time to time in our discretion. Changes will be effective upon posting the revised Terms on klekin.pro with an updated effective date, unless a later date is stated.
Your continued access to or use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the Services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to any mandatory consumer protection laws or other non-waivable legal rights, the parties irrevocably submit to the exclusive jurisdiction of the courts located in Victoria, British Columbia, Canada for the resolution of any dispute arising out of or relating to these Terms or the Services.

If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its intent as closely as possible.
